Terms & Conditions*

ADMINISTRATOR ACCOUNT ACCESS AGREEMENT



By accessing a website on our server using an Administrator-level account (or having a designated third-party do so on your behalf), you agree to the following terms and conditions:



  1. No Warranty & Support for Admin Level Access: You understand that anything modified or broken by yourself (or a third-party you provide access to on your behalf) while you have access as an Administrator will not be covered by warranty or technical support:

    1. Any and all troubleshooting, support, repairs or help provided by nine10 as a result of actions taken by yourself or the third party with Administrator-level access will be billable at nine10’s default hourly rate. (See the nine10 Incorporated Standard Terms of Service for current rates.)


    2. A minimum (1) hour charge applies per request.


    3. Fees incurred for support are due regardless of the nature or outcome of the request.


    4. To manage your budget, you may choose to authorize a maximum amount nine10 is allowed to bill for support per month (including zero, in which case nine10 will require approval to bill for all requests beforehand, which may slow down our ability to respond to time-sensitive / critical issues.)


  2. Confidentiality: Any information provided regarding how to access the website or server is strictly confidential and will not be shared with anyone not authorized explicitly in writing by nine10 Inc. This includes this document and any information communicated to you by nine10 Inc over the course of our relationship in the past, now, or in the future.


  3. Safeguarding Security and Access Details: You will take careful measures to safeguard and keep confidential any details about the website, our server, including the information in this document, and any other connection information, usernames, passwords, ports, database names and details, and/or any information or details gathered about our network, server, or hosting environment during your interaction with it. We strongly recommend the use of an encrypted password database for safeguarding this information.


  4. Restrictions: You, or anybody acting on your behalf, will not knowingly or willingly:




    1. Install server applications, daemons, or automatically scheduled tasks (e.g. crontab) without our express written permission;
      Install any malicious or harmful software or services (viruses, malware, spam, etc.)


    2. Use our server for any illegal, unethical or immoral purpose (as determined by nine10 Inc.), including but not limited to: spamming, hacking, cracking, denial of service, sniffing, etc.


    3. Access any area of the server outside of the root folder for the client website in question.


    4. Attempt to circumvent or bypass any security system(s) or protective measure(s) implemented on the server.


    5. Cause harm to the server or its data, or hinder, alter or block the successful operation of the server, in any way, shape or form.


    6. Install, write or upload code that will cause a security vulnerability on the server.


    7. Allow unqualified staff, contractors, companies, entities or individuals to access the server.



  5. Termination: Any action that violates this policy may result in the client’s hosting account being terminated with immediate notice and effect.


  6. Liability: You understand that you are fully responsible for your actions and the actions of any third party hired to access your website as an Administrator on your behalf under this agreement. Any damage caused to the server by your access to and/or use of the website may be charged back to you, including:

    1. Any time spent by nine10 to repair, restore, reconfigure or otherwise return the server to normal operation will be billed to you at nine10’s Technical Consulting Rate and become due immediately.


    2. Any revenues lost by nine10 as a result of time spent on server repairs, including any time spent re-organizing our project schedule, will be billed back to you.


    3. Any damages to the server which cause loss of data or operation for nine10’s other hosting clients may be charged back to you as well, including the cost of rebuilding any website(s) and/or recreating any content, assets or data lost on such websites. Any such work spent rebuilding other content, assets or data lost will be billed at nine10’s Technical Consulting Rate (the current rate is detailed in the nine10 Incorporated Standard Terms of Service.)
